With the negotiation of the both parts, making the selling contract is as below.      The selling Add: Suizhou City, Hubei Province, China.

一、供需项目：产品名称型号数量金额配置及需方定作的特殊要求：First, the selling project: the product name, product model, numbers, devices, amount of money, etc. upon buyer’s requirements.

车辆明细配置： trucks main parameters

1、国三东风福瑞卡自卸式垃圾车，整车型号：CLW5060ZLJ3型自卸式垃圾车，底盘型号：EQ1060TJ20D3，底盘采用东风福瑞卡平头单排可翻转驾驶室,国3朝柴95马力EGR发动机(70kw),五档变速箱,4.5吨后桥,700-16尼龙胎,带动力转向,加装空调；自卸式垃圾箱容积4立方,采用武钢国标钢板制作,边板3mm底板4mm厚,自卸式垃圾车采用双顶自卸，整车白色。

a. China National 3 dongfeng Furuika garbage dump truck, the truck model: CLW5060ZLJ3 garbage dump truck, chassis model: EQ1060TJ20D3, adopts Dongfeng Furuika flathead single row driver cab, China National 3 chaochai 95hp EGR engine(70KW), 5 speed transmission, 4.5ton rear bridge, 7.00-16 nylon tyre, with power steering and air-conditioner. The garbage dump truck volume is 4cbm, adopting GB wugang steel, 3mm thickness side sheet and 4mm thickness bottom sheet. Garbage dump truck adopts double cylinder in middle dumping, and the whole truck is with white color.

2、国三东风多利卡单排高空作业车，整车型号：CLW5070JGKZ3型高空作业车，底盘型号：EQ1070GJ9AD3

底盘采用东风多利卡原厂底盘，单排可翻转驾驶室，国三CY4102-C3C发动机(功率88KW，120马力)，轴距：3800mm,5档变速箱，2.5吨前桥，4.5吨后桥，7.50-16尼龙胎，有动力转向，气刹，加装空调； 上装工空作业高度14米，随车安装四个液压支腿，吊钩起重1吨。高空作业车带作业斗均可上下操作，360度全方位旋转，安装手油门，整车工程黄色。

b．China national dongfeng duolika single row high altitude operation truck, truck model: CLW5070JGKZ3 high altitude operation truck, chassis model: EQ1070GJ9AD3, adopts dongfeng duolika chassis; single row driver cab, China National 3 CY4102-C3C engine(88KW/120hp), wheelbase: 3800mm, 5 speed transmission, 2.5ton front bridge/4.5ton rear bridge, 7.50-16 nylon tyre, with power steering, air-cut brake and air-conditioner. The working height of dongfeng duolika high altitude operation truck is 14m, with 4 sets of hydraulic outriggers, lifting mass of crane hanger: 1ton. The high altitude operation truck can be operated up and down, 360 degree full rotation, installed with hand throttle. The whole truck is with yellow color.

3、国三东风多利卡单排压缩垃圾车，整车型号：CLW5070ZYS3型压缩式垃圾车，底盘型号：EQ1070TJ9AD3，底盘采用东风多利卡原厂底盘，单排可翻转驾驶室，国三CY4102-C3C发动机(功率88KW，120马力)，轴距：3800mm,5档变速箱，2.5吨前桥，4.5吨后桥，7.50-16尼龙胎，有动力转向，气刹，加装空调；压缩垃圾箱容积6立方，采用国标武钢轻型钢材制作(加装后翻转机构带铲斗),整车东风蓝。

c. China National dongfeng duolika single row garbage compactor truck, truck model: CLW5070ZYS3 garbage compactor truck, chassis model: EQ1070TJ9AD3, adopts dongfeng duolika original chassis, single row driver cab, China National 3 CY4102-C3C engine(88KW/120hp), wheelbase: 3800mm, 5 speed transmission, 2.5ton front bridge/4.5ton rear bridge, 7.50-16 nylon tyre, with power steering, air-cut brake and air-conditioner. The compacting garbage volume is 6cbm, adopting GB wugang sheets (installed with rear turnover mechanism with bucket). The whole truck is with dongfeng blue color.

二、交车地点：供方代送车至上海港口，目的港口：多哥洛美港。若自提车后或车到乙方两日内未提出异议即视为验收合格。备件工具按清单匹配与相关证件资料一并随车交验。

Second, the delivery Add: the seller drives the truck to Shanghai Port instead, and others, such as booking, forwarding, Customs Declaration, etc. according to the additional agreement. If the buyer get the truck personally, and without any objection within two days, then meaning the buyer accept. The spares and tools are inline with the list, and other related papers should be checked.

三、售后服务：依据供方及行业相关规定上装和下装分别由供方和主机厂在国内三包一年或三万公里。

Third, the after-sale service: according to the seller and the automobile industry provisions, the upper parts and the chassis parts in normal use within 30000km or within one year in China are respectively guaranteed by seller and chassis factory.

四、产品标准：依照生产厂家和国家相关标准执行。

Fourth, product standard: according to the manufacturer and China National related standard.

五、结算方式：预付定金美金30%，生产完工后通知需方来厂验收，付清70%余款，不得以任何理由拒付或拖欠，在未付清全款之前，车辆及随车手续所有权属供方所有。

Fifth, the payment term: T/T 30% US dollars in advance, after finished, the buyer could check the truck, then pay the balance. And the buyer cannot refuse or delay the payments. Before paying the balance (70 percents), the truck and other procedures belong to the seller.

六、其它约定：若有争议或未尽事宜双方友好协商，协商不成按《合同法》有关规定执行。本合同购货定金及全部货款须汇至供方指定帐户，否则本合同无效，本合同双方签章后（含传真件）生效，自收到定金后的 20个工作日内交车(发车日期以船期为准)。本合同包含中英文两种，当同一合同内容中英文发生分歧时，以中文合同为准。

Sixth, other agreement: if there is any objection, the two parts should negotiate. If cannot reach, then do it according to the 《 CONTRACT LAW》. The deposits and balance amount should be transferred to the seller appointed account; otherwise the selling contract is ineffective. The selling contract will take effect with the signatures of both seller and buyer part (including the fax copy). Since confirmed the order and received the deposit, we’ll finish the truck within 20 working days.(the delivery time is according to the shipping date)

Remark: Since the selling contract have Chinese Version and English Version, when there is any difference between the two versions, and then carry out according to the Chinese Version.
